Related Party Transactions Policy

RELATED PARTY TRANSACTIONS POLICIES AND PROCEDURES
(1) Parent Company

Related party transactions shall be conducted in terms that are at least comparable to normal commercial practices to safeguard the best interest of the Company, its shareholders and creditors. Transactions with related parties are monitored and disclosed in the notes to the financial statements of the Company.

(2) Joint Ventures
(3) Subsidiaries
(4) Entities Under Common Control
(5) Substantial Stockholders
(6) Officers including spouse/children/siblings/parents

Disclosure of relationship or association is required to be made before entering into a transaction. Officers shall have no participation in the approval of the transaction.
